Copyright Agreement

The licensing framework that applies when music, beats, sound recordings, illustrations, animation assets, 3D assets, templates and other digital creative products are purchased through Noble Creative.

Purchase of a License

Unless a product listing and written agreement expressly state otherwise, purchasing music or a digital asset through Noble Creative grants the purchaser a license to use the product under the applicable license terms. A purchase does not, by itself, transfer ownership of the underlying copyright.

The rights granted to the purchaser depend on the product, license type, seller terms and personalized license agreement presented for the transaction.

Personalized License Agreement

Where Noble Creative provides a transaction-specific license agreement, the agreement may identify the purchaser or licensee, seller or licensor, purchased product, license type, purchase date, transaction or agreement identifier, price and the rights and restrictions applicable to that purchase.

The version of the license accepted at the time of purchase governs the transaction unless the purchaser and applicable rights holder later enter into a separate written agreement.

Music — Non-Exclusive / Lease License

A Non-Exclusive or Lease License permits the purchaser to use the licensed music according to the commercial and usage rights stated in the applicable agreement while the producer, seller or other rights holder retains the underlying copyright and may continue licensing the same music to other customers.

A music lease may specify permitted distribution, monetization, audio streams, audiovisual uses, music videos, performances, broadcasts, advertising, term, territory, project limits, sales or stream limits, credit requirements and whether stems or trackouts are included.

Rights not expressly granted by the applicable license remain reserved to the rights holder.

Music — Exclusive License

An Exclusive License grants the purchaser the exclusive rights specifically identified in the applicable written agreement. Exclusive licensing does not automatically mean that every copyright interest, publishing interest, master right or other ownership interest has been assigned to the purchaser.

The transaction-specific agreement must state whether the seller retains copyright while granting exclusive usage rights or whether specified copyright interests are being formally assigned.

Unless the applicable exclusive agreement expressly provides otherwise, an exclusive sale does not retroactively terminate valid non-exclusive licenses that were lawfully granted before the exclusive transaction.

Composition + Master Rights

Music may involve separate rights in the underlying musical composition and in a particular sound recording or master. A license applies only to the rights expressly controlled and granted by the applicable licensor.

Purchasers remain responsible for obtaining any additional permissions required from publishers, songwriters, performers, labels, sample owners or other rights holders where those rights are not included in the purchased license.

Music Restrictions

Unless expressly permitted by the applicable agreement, a purchaser may not resell, redistribute, sublicense or make the original music files available as standalone production music, stock music, beats, samples or competing downloadable products.

A purchaser may not falsely claim authorship of the underlying composition or recording or register ownership interests that were not granted by the applicable agreement.

Digital Asset License

Unless a product states otherwise, a purchased digital asset is licensed for incorporation into the purchaser's own finished creative work. Permitted projects may include animation, film, video, games, illustration, design, websites, advertising, music visuals, client productions and other finished creative works.

The creator or applicable rights holder retains ownership of the underlying source asset. Purchasing the asset does not make the purchaser the author or copyright owner of the original asset.

Commercial Digital Asset Use

Where a product includes commercial-use rights, the purchaser may use the asset as part of a substantially larger finished project that adds independent creative or functional value, subject to the applicable product license.

Finished projects may be distributed, published, displayed, performed, monetized or delivered to a client to the extent permitted by the purchased license.

Digital Asset Restrictions

Unless expressly authorized by a separate license, purchasers may not resell, redistribute, sublicense, share or make the source asset available to third parties as a standalone file, downloadable resource, stock asset, template pack or competing marketplace product.

A purchaser may not evade this restriction by making only superficial modifications to the asset and then distributing substantially the same source material.

Purchasers may not claim authorship or exclusive ownership of the original source asset merely because it has been incorporated into a larger project.

Client Work

Where the applicable digital asset license permits client work, a purchaser may incorporate the asset into a finished project created for a client. The underlying source asset remains subject to the original license and may not be transferred to the client for unrelated reuse unless the applicable license expressly permits that transfer.

Additional licenses may be required where multiple unrelated clients, organizations or end products independently use the underlying source asset.

Seller Rights + Warranties

A seller offering licensed music or digital assets through Noble Creative is responsible for possessing the copyright, authorization or other rights necessary to offer the stated license.

Sellers must accurately identify material restrictions and must not knowingly offer content that infringes copyright, trademark, publicity, privacy, contractual or other applicable rights.

Third-Party Material

A product may contain or depend upon third-party material that is subject to separate terms. The product description or applicable agreement should identify material limitations where required.

A Noble Creative purchase cannot grant rights that the seller does not legally control.

Electronic Acceptance

Where checkout requires acceptance of an applicable Copyright Agreement or License Agreement, completing that acceptance and purchase records the purchaser's agreement to the license presented for that transaction.

Noble Creative may retain transaction records, agreement versions, timestamps and other evidence reasonably necessary to document the license and resolve transaction or rights disputes.

License Records

Noble Creative may provide purchasers with a digital copy or downloadable record of an applicable transaction-specific license. Purchasers should retain their agreement and purchase record for future reference.

Loss of access to an account does not by itself expand or reduce rights that were validly granted under a completed license transaction.

Conflicting Terms

If a transaction-specific written license contains terms that differ from this general Copyright Agreement, the transaction-specific license controls for that purchased product to the extent of the conflict.

Nothing in this Copyright Agreement grants rights that the applicable seller or licensor does not possess.
